1. Agreement to Terms

By accessing our website (proadexa.com), requesting performance marketing audits, or engaging our software engineering services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

PROADEXA is a legally registered brand and operating unit of SSV Global Pvt. Ltd., incorporated in India and providing cross-border digital services globally.

2. Scope of Services

PROADEXA provides professional digital growth solutions including:

• Paid Media Management: Google Ads, Meta/Facebook/Instagram Ads, Amazon PPC/DSP, Walmart Connect, eBay, Faire Wholesale, AliExpress, and Shopee Ads.
• Organic SEO & Content Marketing: On-Page technical audits, Core Web Vitals optimization, white-hat link building, and E-E-A-T content writing.
• Software & E-Commerce Engineering: Shopify Plus development, custom B2B wholesale portals, API integrations, and conversion rate optimization (CRO).
• Creative & Visual Production: 4K product photoshoots, 3D CGI rendering, and UGC video ad creative.

3. Client Ad Spend & Platform Policies

Unless otherwise specified in a formal Statement of Work (SOW), all advertising budgets (ad spend paid to Google, Meta, Amazon, Walmart, etc.) are paid directly by the client to the respective advertising platforms. PROADEXA acts as an authorized managing agency and is not responsible for platform-level billing disputes, account suspensions triggered by client landing page compliance issues, or third-party ad network algorithm updates.

4. Intellectual Property & Deliverables

Upon full settlement of all invoiced fees, all custom code, ad creatives, 3D CGI assets, and written content produced specifically for the client become the intellectual property of the client. PROADEXA retains the non-exclusive right to showcase non-confidential case studies, growth metrics, and portfolio highlights unless restricted by a signed Non-Disclosure Agreement (NDA).

5. Payment Terms & Invoicing

Retainer fees and project milestones are invoiced in accordance with the signed service contract (payable in USD, GBP, EUR, AUD, CAD, or INR). Invoices are due upon receipt or within net terms agreed in writing. PROADEXA reserves the right to pause ongoing media management or software deployments in the event of overdue invoices exceeding 14 calendar days.

6. Confidentiality & Non-Disclosure (NDA)

Both parties agree to hold in strict confidence all proprietary business data, customer records, ad strategy blueprints, profit margins, and software source code. We execute bilateral NDAs with enterprise clients before accessing internal business infrastructure.

7. Limitation of Liability

While PROADEXA applies industry-leading optimization techniques and proven media buying strategies, digital marketing performance depends on market demand, competitive dynamics, and external platform algorithms. To the maximum extent permitted by applicable law, PROADEXA and SSV Global Pvt. Ltd. shall not be liable for indirect, incidental, or consequential damages resulting from platform downtime or third-party outages.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gautam Buddha Nagar, Uttar Pradesh, India, or resolved through mutually agreed international commercial arbitration.
